Terms of Use

These Terms of Use (the “Terms”) are a binding agreement between you and Surgifai, Inc.(“Surgifai,” “we,” “us”). They govern your access to and use of the Surgifai website at surgifai.com, the Surgifai application at app.surgifai.com, and any self-serve access to the Surgifai Recon service, including authorized API and Model Context Protocol (MCP) client access (together, the “service”). By accessing or using the service, or by clicking to accept these Terms, you agree to them. If you do not agree, do not use the service.
Surgifai is operated from the United States and is intended for use by businesses and professionals in the United States. We do not represent that the service is appropriate or available for use in other locations.
Eligibility and who may use the service
- You must be at least 18 years old and able to form a binding contract. The service is a business tool intended for professional, not personal or household, use.
- If you use the service on behalf of a company, agency, firm, or other organization, you represent that you have authority to bind that organization to these Terms, and “you” includes that organization.
- Registration requires a valid work email address at your organization's own domain. Personal, free, and disposable email providers (for example, Gmail, Outlook, iCloud, and similar) are not supported for registration.
- Access may be limited to invited organizations or to an approved-domain list during beta or controlled-availability periods. We may grant, decline, condition, or revoke access at our discretion.
Accounts, firm membership, and security
- Passwordless sign-in. The service uses single-use email sign-in links rather than passwords. Your work email inbox is effectively your credential — anyone with access to your inbox or a valid sign-in link can access your account. You are responsible for securing your email account and for all activity that occurs under your account.
- Firm membership.When you register, the registrable domain of your email address is used to associate your account with a firm or organization workspace. The first user from a domain may become the firm's owner, and later users from the same domain may join as members. Firm owners and administrators may manage members, roles, access, and workspace content, and may be able to view, control, suspend, or remove accounts and data within the firm. By registering with an organization email address, you acknowledge that the organization may administer your access and associated firm-level data.
- Credentials and sessions. You are responsible for maintaining the security of your sign-in links, API credentials (including any
sgf_keys), and connected client sessions, and for keeping them confidential. - You must notify us promptly at [email protected] if you believe your account, inbox, or credentials have been compromised.
What the service is
Surgifai Recon is an assistive research and workflow product for parcel, map, zoning, hazard, land-record, and related operational questions. The service may combine your input, public records, third-party sources, cached research results, maps, and machine-generated and AI-assisted summaries to help you recover answers and supporting source trails. Outputs are generated by automated systems and may be incomplete, inaccurate, or out of date.
Professional-use and output disclaimer
- The service is provided as an assistive research tool. It is not a substitute for licensed surveying, engineering, legal, title, land-use, or permitting judgment, and Surgifai does not provide professional, legal, or engineering advice. Using the service does not create any professional-client relationship.
- You are responsible for independently reviewing outputs, verifying source material, and determining whether an answer is suitable for field, design, legal, permitting, or client use.
- You may not present Surgifai output alone as a professional opinion, certified deliverable, sealed work product, or filing-ready legal or regulatory submission without your own review and validation.
- Public-record systems and third-party sources may be incomplete, stale, inconsistent, unavailable, or changed without notice. Surgifai does not guarantee that every output is complete, current, or error-free.
Your content and permissions
- As between you and Surgifai, you retain your rights in prompts, queries, uploaded files, attachments, and other content you submit to the service.
- You grant Surgifai a limited, non-exclusive right to host, process, transmit, reproduce, and transform that content as necessary to provide, secure, maintain, support, and improve the service, to comply with law, and to enforce these Terms.
- We do not use your queries or content to train foundation models, consistent with our Privacy Notice. The large-language-model service that powers the research experience processes your input to produce a response and is not used to train models on your inputs.
- You represent that you have all rights and permissions necessary to submit the content and to authorize its use with the service.
Privacy
Our handling of personal data is described in the Privacy Notice. Where Surgifai processes personal data on behalf of a customer organization, that processing is governed by the applicable data processing addendum and the customer's order or business terms rather than by this section.
Acceptable use restrictions
You may not:
- Use the service in violation of law, regulation, court order, or third-party rights.
- Attempt to gain unauthorized access to systems, accounts, data, or credentials.
- Interfere with, disrupt, overload, probe, scrape, or reverse engineer the service beyond permitted use.
- Use shared credentials, resell access, or bypass plan, seat, rate-limit, or workspace restrictions.
- Use the service to build or train a competing model, dataset, index, or automated public-record mirror from service output.
- Submit malicious code, malware, spam, deceptive requests, or abusive automation through the service.
- Remove or obscure proprietary notices, usage limitations, or source-trail information included in outputs.
Third-party systems and external sources
The service depends on third-party cloud infrastructure and on public agency systems. Surgifai is not responsible for the availability, accuracy, legality, or operational continuity of third-party infrastructure, websites, public records, GIS layers, map books, or agency portals, and outages or changes in those systems may affect the service.
Intellectual property
Surgifai and its licensors retain all rights, title, and interest in the service, including software, interfaces, workflows, branding, and service-generated materials other than your content. These Terms do not transfer any ownership rights to you except the limited right to use the service in accordance with these Terms.
Feedback
If you provide suggestions, comments, or other feedback about the service, you grant Surgifai a worldwide, perpetual, irrevocable, royalty-free right to use that feedback for any lawful purpose without restriction or compensation.
Plans, billing, and taxes
Some features are offered without charge and others require a paid plan, order form, or subscription. If you purchase a paid plan, you agree to pay the fees and any applicable taxes described at the time of purchase. Unless otherwise stated in a separate agreement, fees are non-refundable except where required by law. For organizational customers, the commercial terms in the Business Terms and any signed order form govern fees, invoicing, and payment, and control over this section to the extent they address those topics.
Beta and preview features
We may offer features identified as beta, preview, evaluation, or early access. These features are provided “as is,” may be incomplete or change materially, and may be modified or discontinued at any time. We may provide them with reduced or no warranty and support, and you use them at your own discretion.
Service changes, suspension, and termination
- We may modify, suspend, or discontinue all or part of the service from time to time.
- We may suspend or terminate access immediately if we reasonably believe you have violated these Terms, created security or legal risk, or used the service in a way that may harm Surgifai, customers, third parties, or public systems.
- You may stop using the service at any time. On termination or expiration, your right to access the service ends. Termination does not relieve either party of obligations that accrued before termination, and sections that by their nature should survive will survive.
Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SURGIFAI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SURGIFAI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF SURGIFAI FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID TO SURGIFAI FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for fraud or fraudulent misrepresentation.
Indemnity
You will defend, indemnify, and hold harmless Surgifai and its affiliates, officers, employees, agents, suppliers, and licensors from and against claims, liabilities, damages, judgments, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your content, your use of the service, clients you authorize, your violation of these Terms, or your violation of any law or third-party right.
Governing law and venue
These Terms are governed by the laws of the State of California, without regard to conflict of laws rules. Unless a separate written agreement states otherwise, any dispute arising out of or relating to these Terms or the service will be brought exclusively in the state or federal courts located in Los Angeles County, California, and each party consents to those courts' personal jurisdiction and venue.
Changes to these terms
We may update these Terms from time to time. If we make a material change, we will post the updated Terms here and update the date above. Continued use of the service after the updated Terms become effective constitutes acceptance of the revised Terms.
